Terms of Service for Swap Skill
1. Acceptance of Terms
By downloading, accessing, or using the Swap Skill: Swap your Skill mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.
We reserve the right to update or modify these Terms at any time. We will notify you of material changes via the app or email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the full legal capacity to enter into these Terms.
Use of the Service is void where prohibited by law. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.
3. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Keep your login credentials confidential and not share them with any third party.
- Notify us immediately of any unauthorized use of your account.
- Be fully responsible for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period.
4. Token Economy
SkillSwap operates a time-token system to facilitate skill exchanges.
- Earning Tokens: You earn tokens by teaching skills during sessions. The number of tokens earned is based on session duration and your skill level.
- Spending Tokens: You spend tokens to book learning sessions with other users.
- No Cash Value: Tokens have no real-world monetary value. They are non-transferable and cannot be exchanged for cash, goods, or services outside the Service.
- Token Expiry: Tokens may expire after a period of inactivity (as specified in the app). We will notify you before any token expiration.
- Refunds: Tokens spent on sessions are non-refundable, except in cases of technical issues or verified misconduct by the session host, as determined by us in our sole discretion.
5. User Conduct
You agree to use the Service responsibly and respectfully. You must not:
- Harass, bully, intimidate, or threaten any other user.
- Post or share content that is defamatory, obscene, pornographic, abusive, or otherwise objectionable.
- Engage in any illegal activity or promote harmful behaviors.
- Impersonate any person or entity or falsely state your affiliation with any person or entity.
- Use the Service to spam, phish, or distribute malware.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
- Offer skills you are not qualified to teach, or misrepresent your expertise or credentials.
- Record or share session content without explicit consent from all participants.
- Engage in any activity that disrupts or degrades the quality of the Service.
We reserve the right to remove any content and suspend or terminate accounts for violations of these conduct rules.
6. Intellectual Property
Our Content: The Service, including its design, text, graphics, logos, and software, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.
Your Content: You retain all rights to content you upload or share via the Service (e.g., profile information, session recordings, messages). By sharing content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of operating and improving the Service. This license ends when your content is deleted or your account is terminated, except for anonymized data used for analytics.
7. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
8. Third-Party Services
The Service integrates with third-party platforms (e.g., video providers, payment processors, analytics tools). We do not control these third-party services and are not responsible for their practices. Your interactions with third-party services are governed by their terms and policies.

9. Disclaimers & Limitations of Liability
Service "As Is": The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Professional Advice: SkillSwap is a peer-to-peer learning platform. Information and skills shared by users are for educational and personal development purposes only and do not constitute professional, medical, legal, or financial advice.
Limitation of Liability: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount of tokens you have purchased or the equivalent of $100, whichever is less.
10. Termination
By You: You may terminate your account at any time through the app settings. Your content will be deleted in accordance with our Privacy Policy.
By Us: We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, if we believe you have violated these Terms, engaged in abusive behavior, or if your account is inactive for an extended period. Upon termination, your right to use the Service ceases immediately, and any tokens in your account will be forfeited.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in San Francisco, California. You agree to waive any right to a jury trial or to participate in a class action.
For users outside the United States, you may also have rights under local laws, and we will comply with applicable data protection regulations.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email. Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms.

14. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding your use of the Service.
